Originally named Estoril Sol, S.A.R.L., the company was incorporated on 25 June 1958, with the corporate purpose of exclusively operating the concession for games of chance in the permanent gaming zone of Estoril, as well as related commercial or industrial activities.

On 17 June 1985, following a public tender, the company entered into a new concession agreement with the Portuguese State for the operation of the Estoril Permanent Gaming Zone, effective from 1 January 1987 to 31 December 2005.

Under Resolution of the Council of Ministers No. 115/99 of 22 July, Estoril Sol, SA was authorised to transfer its contractual position under the gaming concession to a wholly-owned subsidiary. Accordingly, on 17 August 2001, "Estoril Sol (III) – Turismo, Animação e Jogo, SA" was incorporated, to which the contractual position, along with all related assets, rights and obligations, was transferred on 1 October 2001.

On 18 March 2002, Estoril Sol, SA changed its legal status to "Sociedade Gestora de Participações Sociais – SGPS, S.A." (holding company), ceasing to directly carry out any economic activity.

Estoril Sol, SGPS, SA holds, indirectly through its subsidiaries, interests in the Tourism sector and, in particular, in gaming activity in physical and online casinos: through the operation of the gaming concession in the Estoril Permanent Gaming Zone, which comprises Casino Estoril and Casino Lisboa, and in the online gaming sector through its subsidiary Estoril Sol Digital, Online Gaming Products and Services, S.A., holder of licences No. 03 and No. 08 granted by the Gaming Inspection and Regulation Service (SRIJ). The Group also holds ancillary interests in the real estate sector.

Whistleblowing

The Estoril Group has approved and maintains in force a Code of Ethics and Professional Conduct, reflecting the Group's guiding principles and mission as a day-to-day guide for decisions and conduct consistent with the Group's values.

Specifically, the Code aims to:

• Establish standards of professional conduct in the Group's relationships with employees, among themselves, and with partners, clients, suppliers and other stakeholders, including public institutions;
• Create mechanisms to prevent infringements and prohibited or otherwise reprehensible conduct;
• Create monitoring and control mechanisms to ensure the Code's effectiveness.

All recipients have a duty to report, through the available channels, any violation of this Code of which they become aware, with the express guarantee that no retaliation will be taken against anyone who, in good faith, reports improper conduct.

The Estoril Group ensures that reports received are handled with confidentiality, impartiality and priority, guaranteeing the anonymity of the reporting party where applicable, and protecting personal data in accordance with the Privacy Policy and Law 58/2019, implementing Regulation (EU) 2016/679.
